2.0 Cluster Operation Construction Cluster reland The Cluster shall be organised, and its activities and affairs governed and conducted in the manner described in this document. The Cluster membership agrees to comply with its Culture, Values & Behaviours norms as outlined in Appendix 1.

 

2.1 Regional Chapters & Work Streams within the Cluster A range of Work Streams and Regional Chapters may be established by the CCI. They are formed to address members’ needs and to focus on specific opportunities and challenges. These working groups shall consist of cluster members who volunteer to contribute to the dedicated theme and work closely with the Cluster Manager to deliver planned activities, in coordination with the Steering Committee. Each of these working groups shall be led by a member of the Steering Committee, with further support from members as relevant to the particular thematic focus area. With the exception of the chair, membership of the working group does not require membership of the Steering Group. Each Work Stream or Regional Chapter shall work to a defined Terms of Reference, with devolved governance from this Cluster Policy document. The Work Stream or Regional Chapter shall report to the Steering Committee. Working group members work voluntarily without renumeration for their work within the working group.

 

2.2 Membership The cluster members will consist of a cross-section of Small Medium Enterprises (SMEs), Foreign Direct Investment forms (FDls), Funded Start-Ups, academic partners, support agencies, and any other relevant bodies (Healthcare providers, Skillnets, networks etc). It is expected that circa -50% of members will be SMEs Membership of the Cluster shall be open to all public and private organisations operating in the field of construction and relevant sectors. Enterprises must be a registered company in Ireland.

2.3 Process to join CCI Membership Any organisation who wishes to become a Member must have an Introduction Meeting with the Cluster Manager to confirm alignment with both the companys’ and cluster goals. The enterprise may then then request or be offered membership to CCI, which will be confirmed either via e-mail or membership form, whichever is effective at the time of application. When the membership form is available, all members will be required to agree and sign the membership form for continued membership. Members must also agree and sign copies of the Culture, Values, and Behaviours norms outlined in Appendix 1.

 

2.4 Membership Fees Construction Cluster reland Membership is free until Q1 of 2024. At this point, a nominal fee of 50 euro will be charged as membership for Q3 and Q4 of 2023. The final fee structure for the following years is in progress in accordance with organisation types, sizes and annual turnovers for discussion with the Steering Committee, with estimated completion by the end of 2023: Membership fees will align with fees of other RTCF clusters; The Steering Committee shall determine the membership fees payable by the members on an annual basis and inform the cluster members no less than 60 days of the date of that invoice: Membership fees shall be invoiced to the cluster members annually and shall be payable by the members within 60 days of the date of that invoice. Each member covenants with TUDublin to pay all membership fees due and payable by that member in accordance with this document and the fees determined annually by the CCI Steering Committee. Registered members for the free trial period are not bound to proceed in the following years unless they opt to do so and sign both the membership form and the Culture, Values, and Behaviour norms. The members reserve their rights to cancel their membership in writing, as explained under the ‘Cessation of Membership’ article of this section.

 

2.5 Roles and Responsibilities of Members Partake in discussions, activities and attend events; Members must attend at least one event annually: Be open to collaboration with other members and actively engage across the cluster community. This can be done by meeting with other cluster members to share information, host events at their facilities etc. Each member must meet with at least two other cluster members annually for knowledge sharing purposes Each member must refer at least one new entity annually for cluster membership consideration. These referrals do not have to join the cluster; Participate in one annual one on one meeting with the Cluster Manager; Cluster members must respond to emails and contact from other cluster members, including the Cluster Manager, within 10 business days with exception for annual leave or extenuating circumstances; Maintain confidentiality in relation to discussions with other cluster members: • Be civil to other members of the cluster: • Disseminate appropriate information and promote the cluster; •Liaise with the cluster manager on relevant information that could play a part in devising the cluster’s strategic priorities; Sign, abide by and respect the Culture, Values & Behaviours norms as outlined in Appendix 1; Comply with GDPR

 

2.6 Cessation of Membership: A member may at any time resign its membership of CCI by giving notice in writing of not less than 15 working days to the Cluster Outreach Manager to that effect. A wait period of six months is required before re-application to CCI will be considered.

 

2.7 The consequence of Withdrawal: Withdrawal of a Member from membership of the Cluster shall not affect any rights of any Member accrued up to the date of expulsion. The provisions of this section and other sections; ‘Confidentiality, Dispute resolution, Communications’ and, to the extent applicable, and ‘Interpretation’ shall survive the cessation of membership however it arises and shall continue to bind Members or the relevant Member (as applicable) in accordance with their respective provisions.

 

2.8 Expulsion: If an Expulsion Event occurs to a Member (the ‘Relevant Member’), then the CCI Steering Committee shall be entitled to expel the Relevant Member from the Cluster with immediate effect or with effect from such date no later than 30 days from the date of the Expulsion Date whereupon all rights of the Relevant Member under these provisions shall cease (but without prejudice to the continuing obligations of the Relevant Member under this policy document) Each of the following shall be an Expulsion Event in relation to the Relevant Member: Failure to pay membership fees: The Relevant Member fails to pay any membership fees payable by it within 60 days of the due date for the payment. Unethical behaviours: The Relevant Member has not, in the opinion of the majority of the members of the CCI Steering Committee by the Relevant Member, maintained an acceptable standard of ethical conduct and integrity in their treatment of Confidential Information. Not active in CCI: The Relevant Member ceases to abide by the Rules and Responsibilities of Members outlined above in Section 2.5

 

Failure to uphold the Culture, Values, and Behaviours agreement: If the Relevant Member is not acting within the agreed Culture, Values, and Behaviour in the opinion of the Steering Committee they will be nominated for expulsion Should grounds for expulsion take place, the Cluster Manager and Chair will have one meeting with the Relevant Member to discuss the specific situation. One grace period may be granted at the discretion of the Cluster Manager and Chair with the exception of unethical behaviours and/or breach of confidentiality and GDPR which will result in immediate expulsion. If an entity wishes to re-join the cluster after expulsion, a wait period of at least 1 year is required before membership will be reconsidered, with the exception of unethical behaviours and/or breach of confidentiality or GDPR. In this case re-membership will not be considered.

2.9 Return of Information: Upon ceasing to be a member, the departing Member shall, upon request of the Cluster Outreach Manager, either return to the Cluster Outreach Manager or by agreement destroy all cluster information in possession of that Member, together with all copies thereof and extracts from there.

 

2.10 No sharing of liabilities or profits: No member shall have any liabilities for any cluster activities or any members of CCI. Furthermore, nothing in this Policy document or any Member Agreement or Inter-stakeholder agreement shall be construed as providing for sharing profits or losses between any of the Members.

 

 

 

Appendix 1:

Culture, Values, and Behaviour Norms Construction Cluster reland CCl’s principles and values are trust. reciprocity, and collaboration. This social contract describes what it means to collaborate and work within the cluster together. By signing this contract, I agree to join the CCI community and to embrace and promote the following values and principles:

Trust I will give trust to others before expecting to receive trust in return

Reciprocity: I agree to reciprocate the positive benefits I receive; For each referral or introduction I get, I will provide a referral or introduction to someone else For each hour of help or advice I receive, I will give an hour to someone else For each risk someone takes with me, I will take a risk with someone else

Collaboration: I will be open to learning from and working with others and will openly share my knowledge and experience in the spirit of collectively enhancing the construction sector

Teamwork: I believe we are stronger and more successful if we work together; none of us is as smart as all of us Respect I will be kind and respectful of everyone, including their time. I will not take advantage of others.
